Updated on March 6th, 2023, please carefully review these Terms of Service (the "Terms") and our Privacy Notice ("Privacy Notice") as they govern your access and use of the website, copy content generation services, and any copy content generated by Jeeves AI, Inc. ("Jeeves AI") for you based on your User Content (defined below) ("Generated Content"). The Services, which include the Site, our services, and the Generated Content, are subject to these Terms.
By accessing and using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services. If you are accessing and using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
Please read our Privacy Notice carefully as it also governs your use of the Services, including how we collect, use, and share your information.
We may update the Terms from time to time at our sole discretion. We will notify you of any changes by posting the updated Terms on the Site or sending other communications. You should review the Terms whenever you use the Services. Your continued use of the Services after we post updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you may not use the Services. As our Services evolve, we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.
In order to use the Services, you must be 18 years or older and have the legal capacity to enter into a binding agreement with Jeeves AI. Additionally, you must not be prohibited from using the Services under applicable law. For certain features of the Services, you may need to create an account. It is your responsibility to provide accurate and current account information and to keep it up to date. Failure to do so may result in the suspension or termination of your account. To ensure the security of your account, keep your login credentials confidential and report any unauthorized use immediately. You are responsible for all activities that occur under your account.
We appreciate and welcome feedback, comments, ideas, proposals, and suggestions for improving the Services ("Feedback"). By submitting Feedback to us, you grant us unrestricted rights to use it without any compensation or restriction.
The use of certain features of the Services requires payment of fees. By using the Services, you agree to pay any applicable fees. When you purchase a Subscription, you authorize us (or our third-party payment processor) to charge you for the Subscription, including any applicable taxes and other charges. You must provide accurate Payment Information, and you represent and warrant that you have the legal right to use all payment methods provided. By initiating a Subscription, you agree to the pricing, payment, and billing policies applicable to the Subscription, which are posted or otherwise communicated to you. All payments for Subscriptions are non-refundable and non-transferable unless otherwise expressly provided in these Terms. The Subscription Fee will be charged on a periodic basis, whether monthly or annually, using the Payment method provided by you, until you cancel your Subscription. You acknowledge that your Subscription has recurring payment features and accept responsibility for all recurring payment obligations prior to cancellation of your Subscription by you or Jeeves AI. You may cancel your Subscription within ten (10) calendar days of your initial purchase for a full refund. After the ten-day period, your purchase is final, and you will not be able to cancel the Subscription or receive a refund of your Subscription Fee. We may offer certain users Free Trials of paid Subscriptions for a specified period. By agreeing to a Free Trial, you agree to sign up for a paid Subscription, which will be charged to your Payment Information at the end of the Free Trial period unless you cancel your Subscription before the end of the trial. All other provisions relating to Subscriptions apply to Free Trials, including non-refundability and non-transferability.
The Services offered by Jeeves AI may include features that allow you to store and share various types of content such as text, files, documents, graphics, images, music, software, audio, and video. Any content that you post or make available through the Services, except for Feedback, is referred to as "User Content." You retain all ownership rights to your User Content, and nothing in these Terms will limit your rights to your User Content.
By making your User Content available through the Services, you grant to Jeeves AI, its licensors, and their affiliates a non-exclusive, transferable, perpetual, irrevocable, worldwide, royalty-free, fully paid-up license, with the right to sublicense, to use, host, store, copy, communicate, modify, create derivative works based upon, distribute, publish, publicly display, and publicly perform your User Content in connection with Jeeves AI, its licensors, and their affiliates providing, operating, securing, and improving their services.
You are solely responsible for your User Content, and you represent and warrant that you have all necessary rights to grant us the license rights in your User Content under these Terms. Additionally, you represent and warrant that your User Content and your use and provision of your User Content will not infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity or privacy, or any applicable law or regulation.
You may remove your User Content by specifically deleting it. However, please note that in some cases, your User Content may not be completely removed, and copies may continue to exist on the Services. We are not responsible or liable for the removal or deletion of any of your User Content.
Generated Content is content that Jeeves AI generates for you based on your User Content. Subject to your compliance with these Terms, Jeeves AI grants you a non-exclusive, worldwide license, with the right to sublicense, to use, copy, modify, sell, create derivative works based upon, distribute, publicly display, and publicly perform Generated Content for your lawful business purposes.
We may make content available through the Services that is subject to intellectual property rights, including Generated Content. We and our licensors (as applicable) retain all rights to that content.
Jeeves AI values and respects the intellectual property rights of others and expects its users to do the same. Jeeves AI has a policy to remove any infringing content and terminate the account of any user who repeatedly infringes the intellectual property rights of others. The Services may contain links to third-party websites or services. These links are provided for your convenience only, and Jeeves AI has no control over the content, products, or services offered by these third-party websites or services. You acknowledge and agree that you access these third-party websites or services at your own risk, and that Jeeves AI is not responsible for any damages or losses that may arise from your use of them.
Jeeves AI may terminate your access to and use of the Services, or suspend access to or terminate your account, at any time and without notice to you, at its sole discretion. You may cancel your account at any time by sending an email to contact@Jeeves AI.
THE SERVICES ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, JEEVES AI AND ITS LICENSORS DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. JEEVES AI AND ITS LICENSORS MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. JEEVES AI AND ITS LICENSORS MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE SERVICES.
You agree to indemnify and hold Jeeves AI, its licensors, their affiliates, and each of their officers, directors, employees, representatives, and agents harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your actual or alleged infringement, misappropriation, or violation of any third party's intellectual property or proprietary rights.
Jeeves AI and its service providers and licensors involved in creating, producing, or delivering the Services shall not be liable for any damages, whether incidental, special, exemplary, consequential or otherwise, including but not limited to lost profits, lost revenues, lost savings, lost business opportunity, loss of data or goodwill, service interruption, computer damage or system failure or the cost of substitute services of any kind arising out of or in connection with these Terms or from the use of or inability to use the Services. This includes damages arising from warranty, contract, tort (including negligence), product liability, or any other legal theory. Neither Jeeves AI nor its licensors or its service providers will be liable even if they have been informed of the possibility of such damages. This provision applies even if a limited remedy set forth herein is found to have failed of its essential purpose.
To the maximum extent permitted by the law of the applicable jurisdiction, Jeeves AI's total liability arising out of or in connection with these Terms or from the use of or inability to use the Services shall not exceed the amounts paid by you to Jeeves AI for use of the Services, for the period of time that the services were unusable.
These Terms constitute the entire agreement between you and Jeeves AI regarding the Services, and supersede all prior agreements, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. You may not transfer or assign these Terms without the prior written consent of Jeeves AI, and any attempt to do so will be deemed null and void. Jeeves AI reserves the right to assign or transfer these Terms at its discretion. These Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns, subject to the foregoing restrictions.
